Terms & Conditions Baseline, LLC (“Baseline,” “we,” “us,” or “our”) provides residential and select commercial cleaning services under these Terms & Conditions (“Terms”). By booking or using our services, you (“Client,” “you,” or “your”) agree to these Terms.

Services & Scope Our service descriptions are listed on our website and in your booking confirmation (Baseline Clean, Deep Clean, move-in/move-out, post-construction, model home upkeep, and short-term rental turnovers).

The final scope of work is set by your booking confirmation, invoice, and any adjustments agreed with our supervisor on site. We do not perform trash removal or disposal from the property. We reserve the right to decline or adjust service if we encounter unsafe, unsanitary, or clearly out-of-scope conditions (such as active infestations, biohazards, mold, or hazardous materials).

Booking, Access & Scheduling You can book through our online scheduler (Zenbooker) or by contacting us directly.

Please provide safe and timely access, including keys, codes, and parking instructions. Access delays may reduce the time available for cleaning.

Our arrival windows allow for normal variables such as traffic and prior jobs. We will communicate any updates as needed.

Pricing, Estimates & Changes Pricing is based on service type, home size, and condition. Heavier-than-expected conditions may require an on-site adjustment or a follow-up visit.

Recurring plans (weekly, bi-weekly, or monthly) receive automatic discounts from one-time rates when the schedule is maintained. We may update rates with advance notice for future visits.

Payment Terms Payment is due at the completion of service unless other arrangements are made. We accept major credit cards and approved digital payments.

Late balances may incur a 1.5% monthly finance charge (or a minimum $25 fee) plus any collection costs if applicable. Deposits may be required for large or builder projects.

Cancellations, Rescheduling & Lockouts Please cancel or reschedule at least 24 hours before your scheduled appointment.

Late cancellations, same-day changes, or lockouts may result in a fee of up to 100% of the scheduled service amount.

Client Responsibilities To help us deliver the best result:

  • Remove personal items from floors, counters, and sinks.
  • Secure valuables and confidential documents.
  • Let us know about any special surfaces, finishes, or manufacturer care instructions.
  • For pets: secure animals safely and provide any special instructions.

We are not responsible for issues caused by incorrect alarm codes or access information you provide.

Supplies & Equipment Our teams bring professional supplies and equipment. If you ask us to use your own products or tools, you accept responsibility for any results or damage related to those items.

Health & Safety We do not handle hazardous waste, bloodborne pathogens, illegal substances, or pest infestations.

We follow standard safety limits for ladders and reaching. Exterior work, high windows, or specialty access may require a separate quote.

Post-Construction & Builder Terms (If Applicable) We coordinate with your superintendent or project manager for rough, final, and touch-up cleans. Areas should be powered, lockable, and free of active trades during our visit. We maintain required insurance and vendor documentation upon request.

Results, Re-Cleans & Quality Concerns If something is missed, please notify us within 24 hours with photos. We will arrange a prompt re-clean of the specific area(s) at no charge. Re-cleans must be completed within 7 days of the original visit. We do not offer refunds for services already performed once a re-clean resolves the issue.

Limitations of Liability To the fullest extent permitted by applicable law, Baseline LLC’s total liability to you for any claim, loss, or damage arising out of or related to these Terms or the services we provide shall not exceed the total amount actually paid by you to Baseline for the specific service that gave rise to the claim.

In no event shall Baseline LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of use, loss of data, business interruption, or any other economic or non-economic loss, even if we have been advised of the possibility of such damages.

Staffing & Non-Solicitation All cleaners are W-2 employees who are background-checked and trained. You agree not to directly hire or solicit any of our employees for 12 months after their last visit at your location. If this occurs, a placement fee of $2,500 may apply.

Photos, Reviews & Marketing With your permission, we may take after-photos of cleaned spaces (no personal information visible) for quality control.

You may receive requests for feedback or reviews after service. We may feature anonymized comments or ratings on our site and social profiles. You can opt out at any time by contacting us.

Communications Consent By booking, you consent to receive service-related emails and SMS (confirmations, reminders, and updates). You can opt out of marketing messages anytime; service-critical communications may still be sent.

Third-Party Tools & Links Our site may include links or embedded tools (such as Zenbooker, review widgets, or maps). Those providers’ own terms and privacy policies apply.

Gift Cards, Specials & Credits (If Offered) Promotional credits, referral bonuses, and gift cards follow the specific terms and expiration dates listed at the time of issue. Credits have no cash value unless required by law.

Force Majeure We are not responsible for delays or non-performance caused by events beyond our reasonable control (such as severe weather, accidents, utility failures, or labor shortages).

Website Terms & Intellectual Property All content on our website (logos, text, images) is owned by Baseline or used with permission. You agree not to misuse the site or infringe on our intellectual property.

Privacy We handle your information in accordance with our Privacy Policy, which is available on our website. For builder or vendor credentialing, we may share certificates of insurance and compliance documents with authorized parties.

Governing Law & Disputes These Terms are governed by the laws of the State of Tennessee. Any disputes will be handled in the courts of Montgomery County, Tennessee (or small claims court when eligible). Before filing suit, both parties agree to attempt a good-faith resolution within 30 days of written notice.

Changes to These Terms We may update these Terms from time to time. The “Last updated” date at the top shows the current version. Continued use of our services after changes means you accept the updated Terms.
